These Terms of Service ("Terms") govern the relationship between you ("User(s)") and Hostgrid. Each User is subject to these Terms, and by using Hostgrid's services, User agrees to be bound by the usage policies and other terms and conditions contained here in below. These Terms supplement the individual service agreement of each User, if any.
Everything you must know in one place
This Universal Terms of Service Agreement (this “Agreement”) is entered into by and between the relevant Hostgrid group entity indicated below (“Hostgrid”) and you, and is made effective as of the date of your use of this website (“Site”) or the date of electronic acceptance.
This Agreement sets forth the general terms and conditions of your use of the Site and the products and services purchased or accessed through this Site (individually and collectively, the “Services”), and is in addition to (not in lieu of) any specific terms and conditions that apply to the particular Services. Whether you are simply browsing or using this Site or purchase Services, your use of this Site and your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement, along with the applicable policies and agreement (including the applicable product agreements), which are incorporated herein by reference.
When your use of the Services requires us to process any personal data or personal information, we will do so in accordance with our Privacy Policy and also, if applicable, Data Processing Addendum ("DPA"), which is incorporated into this Agreement by reference.
The Site and Services are intended for your commercial or professional use. By utilizing them, you acknowledge and agree that your purpose is commercial or professional in nature.
The terms “we”, “us” or “our” shall refer to Hostgrid. The terms “you”, “your”, “User” or “customer” shall refer to any individual or entity who accepts this Agreement, has access to your account or uses the Services. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits. Hostgrid may, in its sole and absolute discretion, change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of this Site or the Services after such changes or modifications have been made shall constitute your acceptance of this Agreement as last revised. If you do not agree to be bound by this Agreement as last revised, do not use (or continue to use) this Site or the Services. In addition, Hostgrid may occasionally notify you of changes or modifications to this Agreement by email. It is therefore very important that you keep your shopper account (“Account”) information current. Hostgrid assumes no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address.
This Site and the Services are available only to Users who can form legally binding contracts under applicable law. By using this Site or the Services, you represent and warrant that you are (i) at least eighteen (18) years of age, (ii) otherwise recognized as being able to form legally binding contracts under applicable law, and (iii) are not a person barred from purchasing or receiving the Services found under the laws of the India or other applicable jurisdiction. If you are entering into this Agreement on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to the terms and conditions contained in this Agreement, in which case the terms “you”, “your”, “User” or “customer” shall refer to such corporate entity. If, after your electronic acceptance of this Agreement, Hostgrid finds that you do not have the legal authority to bind such corporate entity, you will be personally responsible for the obligations contained in this Agreement, including, but not limited to, the payment obligations. Hostgrid shall not be liable for any loss or damage resulting from Hostgrid’s reliance on any instruction, notice, document or communication reasonably believed by Hostgrid to be genuine and originating from an authorized representative of your corporate entity. If there is reasonable doubt about the authenticity of any such instruction, notice, document or communication, Hostgrid reserves the right (but undertakes no duty) to require additional authentication from you. You further agree to be bound by the terms of this Agreement for transactions entered into by you, anyone acting as your agent and anyone who uses your account or the Services, whether or not authorized by you.
Sanctions. You represent and warrant that you are not ordinarily resident of, and will not use or distribute the Hostgrid Services in any country or region subject to US comprehensive sanctions (Cuba, Iran, North Korea, Russia, the following regions of Ukraine: Crimea, Donetsk, Luhansk, Zaporizhzhia and Kherson), other sanctioned country by US or EU / UN, as well as Belarus and Venezuela in line with Hostgrid’s declared approach. Furthermore, you acknowledge that the list of sanctioned countries, regions and persons are subject to change in accordance with the latest regulations, and you agree to comply with any such changes immediately as they occur. You further confirm that you are not included on any sanctions list, including without limitation, the UN, the US Specially Designated Nationals and Blocked Persons List maintained by the US, Consolidated list of persons, groups and entities subject to EU financial sanctions maintained by EU or any other applicable sanctions list maintained by the United Kingdom or other country. You also confirm that you are not owned, controlled whether directly or indirectly in the aggregate, by any sanctioned individual or entity (“Sanctioned Party”), nor are you otherwise acting on behalf of, at the direction of, or for the benefit of such a party. Additionally, you agree to not indirectly make the Hostgrid Services available to any person, entity or organization subject to the UN, EU, US (OFAC) or UK sanctions. You also agree to not knowingly and intentionally, participate in activities the object or effect of which is to circumvent prohibitions of the above-mentioned international sanctions.If there is a change in your status or regulations that results in your inclusion on a sanctions list (maintained by the US, EU/UN or other country) or if you become owned or controlled by an entity on such a list, you are required to promptly notify Hostgrid. You agree to actively participate in sanctions screening processes, including providing all necessary information as requested by Hostgrid, also your full cooperation is mandatory in any competent authority investigation related to sanctions compliance.In the event that Hostgrid becomes aware of your becoming subject to sanctions maintained by the US, EU/UN or other country, Hostgrid reserves the right to terminate your use of its Services immediately and without any notice.Additionally, Hostgrid retains the discretion to terminate Services, if it reasonably suspects that you have links to a Sanctioned Party. Furthermore, you agree to indemnify and hold Hostgrid harmless against any losses, including but not limited to monetary penalties and legal fees, that may arise due to your non-compliance with the aforementioned sanctions-related confirmations.
Accounts. In order to access some of the features of this Site or use some of the Services, you will have to create an Account. You represent and warrant to Hostgrid that all information you submit when you create your Account is accurate, current and complete, and that you will keep your Account information accurate, current and complete. If Hostgrid has reason to believe that your Account information is untrue, inaccurate, out-of-date or incomplete, Hostgrid reserves the right, in its sole and absolute discretion, to suspend or terminate your Account. You are solely responsible for the activity that occurs on your Account, whether authorized by you or not, and you must keep your Account information secure, including without limitation your customer number/login, password, Payment Method(s) (as defined below). For security purposes, Hostgrid recommends that you change your password at least once every six (6) months for each Account. You must notify Hostgrid immediately of any breach of security or unauthorized use of your Account. Hostgrid will not be liable for any loss you incur due to any unauthorized use of your Account. You, however, may be liable for any loss Hostgrid or others incur caused by your Account, whether caused by you, or by an authorized person, or by an unauthorized person.
Transfer of data abroad. If you are visiting this Site from a country other than the country in which our servers are located, your communications with us may result in the transfer of information (including your Account information) across international boundaries. By visiting this Site and communicating electronically with us, you consent to such transfers.
Account management access (Account sharing). The Services allows you to grant access (depending on permissions granted) to your Hostgrid account to another Hostgrid customer. You may revoke any person’s ability to access your account at any time. By authorizing any person to access your account, you acknowledge and agree that:(1) you have an established and trusted business or personal relationship with such a person;(2) you voluntarily authorize such person to access and make changes to your account;(3) depending on permissions granted, such person may be able to view personal information that you have provided in your account, including billing information (but excluding full payment method information);(4) such person will be able to access your account as it is on the day of granting access and also access any future changes thereof (e.g. in case access to certain hosting is granted, such person will be able to access any future add-on domains of such hosting); (5) in case you separately agree (allow) that such a person would contact Customer Support on your behalf, such person will be able to contact our Customer Support, receive information and (or) manage services on your behalf using our Customer Support and access your chat history (including any personal and other information contained therein). Note that such a person in any case will not be allowed to perform certain actions, such as view or change your account credentials (like your password), delete your account or invite others to access your account.
You are assuming full legal and financial responsibility (and undertake to fully release Hostgrid from any related liability) with respect to your decision to grant access to your account to any person or with respect to any actions such person may take or fail to take with respect to your account.
By requesting access to the Hostgrid account of another customer, Hostgrid customer undertakes to use such access solely in the best interest of and as authorized by the customer granting access.
Please note that Hostgrid is not involved in the actual contract between a Hostgrid customer granting access and/or requesting/receiving access to an account. Should there be a dispute between the parties, you must address such dispute directly with the individual you are in contract with.
Subject to the terms and conditions of this Agreement and our other policies and procedures, we shall use commercially reasonable efforts to attempt to provide this Site and the Services on a twenty-four (24) hours a day, seven (7) days a week basis. You acknowledge and agree that from time to time this Site may be inaccessible or inoperable for any reason including, but not limited to, equipment malfunctions; periodic maintenance, repairs or replacements that we undertake from time to time; or causes beyond our reasonable control or that are not reasonably foreseeable including, but not limited to, interruption or failure of telecommunication or digital transmission links, hostile network attacks, network congestion or other failures. You acknowledge and agree that we have no control over the availability of this Site or the Service on a continuous or uninterrupted basis, and that we assume no liability to you or any other party with regard thereto. From time to time, Hostgrid may offer new Services (limited preview services or new features to existing Services) in a pre-release version. New Services, new features to existing Services or limited preview services shall be known, individually and collectively, as “Beta Services”. If you elect to use any Beta Services, then your use of the Beta Services is subject to the following terms and conditions: (i) You acknowledge and agree that the Beta Services are pre-release versions and may not work properly; (ii) You acknowledge and agree that your use of the Beta Services may expose you to unusual risks of operational failures; (iii) The Beta Services are provided AS-IS, so we do not recommend using them in production or mission critical environments; (iv) Hostgrid reserves the right to modify, change, or discontinue any aspect of the Beta Services at any time; (v) Commercially released versions of the Beta Services may change substantially, and programs that use or run with the Beta Services may not work with the commercially released versions or subsequent releases; (vi) Hostgrid may limit availability of customer service support time dedicated to support of the Beta Services; (vii) You acknowledge and agree to provide prompt feedback regarding your experience with the Beta Services in a form reasonably requested by us, including information necessary to enable us to duplicate errors or problems you experience. You acknowledge and agree that we may use your feedback for any purpose, including product development purposes. At our request you will provide us with comments that we may use publicly for press materials and marketing collateral. Any intellectual property inherent in your feedback or arising from your use of the Beta Services shall be owned exclusively by Hostgrid; (viii) You acknowledge and agree that all information regarding your use of the Beta Services, including your experience with and opinions regarding the Beta Services, is confidential, and may not be disclosed to a third party or used for any purpose other than providing feedback to Hostgrid; (ix) The Beta Services are provided “as is”, “as available”, and “with all faults”. To the fullest extent permitted by law, Hostgrid disclaims any and all warranties, statutory, express or implied, with respect to the Beta Services including, but not limited to, any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. You acknowledge and agree that you have the necessary rights and permissions to share all information necessary to provide the Services with Hostgrid. You acknowledge and agree that the Services may be provided by independent contractors or third-party service providers. All paid support services are non-refundable.
The Services do not support all local languages. If a local language is not supported, then the Service will default to English only. To the extent that the Services are used with a local language (other than English) or in a certain country, there may be limitations to certain features or functionality within the Service or services provided by third parties (e.g. payment methods).
You acknowledge and agree that:
1. Your use of this Site and the Services, including any content you submit, will be for commercial or professional use, will comply with this Agreement and all applicable local, state, national and international laws, rules and regulations.
2. You will not collect or harvest (or permit anyone else to collect or harvest) any User Content (as defined below) or any non-public or personally identifiable information about another User or any other person or entity without their express prior written consent.
3. You will not use this Site or the Services in a manner (as determined by Hostgrid in its sole and absolute discretion) that:
4. You will not copy or distribute in any medium any part of this Site or the Services, except where expressly authorized by Hostgrid.
5. You will not modify or alter any part of this Site or the Services found at this Site or any of its related technologies.
6. You will not access Hostgrid Content (as defined below) or User Content through any technology or means other than through this Site itself, or as Hostgrid may designate.
7. You agree to back-up all of your User Content so that you can access and use it when needed. Hostgrid does not warrant that it backs-up any Account or User Content, and you agree to accept as a risk the loss of any and all of your User Content.
8. You will not re-sell or provide the Services for a commercial purpose, including any of Hostgrid’s related technologies, without Hostgrid's express prior written consent.
9. You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity when requested.
10. You are aware that Hostgrid may from time-to-time call you about your account. You will be informed about such recording, purposes thereof, as well as any other information will be provided to you as required by applicable law. You further acknowledge and agree that, to the extent permitted by applicable law, any such recording(s) may be submitted as evidence in any legal proceeding, in which Hostgrid is a party.
Hostgrid reserves the right to modify, change, or discontinue any aspect of this Site or the Services, including without limitation prices and fees for the same, at any time.
In addition to the general rules above, the provisions in this Section apply specifically to your use of Hostgrid Content and User Content posted to Hostgrid’s corporate websites (i.e., those sites which Hostgrid directly controls or maintains). The applicable provisions are not intended to and do not have the effect of transferring any ownership or licensed rights (including intellectual property rights) you may have in content posted to your hosted websites.
Hostgrid Content. Except for User Content and User Intellectual Property, the content on this Site and the Services, including without limitation the text, software, scripts, source code, API, graphics, photos, sounds, music, videos and interactive features and the trademarks, service marks and logos contained therein, artwork, graphics, website templates, themes and widgets, literary work, computer code (including html), applications and other media, designs, animations, interfaces, derivatives and versions thereof, methods, products, algorithms, data, interactive features and objects, advertising and acquisition tools and methods, customized URLs and all copyrightable materials (“Hostgrid Content”), are owned by or licensed to Hostgrid in perpetuity, and are subject to copyright, trademark, and/or patent protection in the India and foreign countries, and other intellectual property rights under India and foreign laws. Hostgrid Content is provided to you “as is”, “as available” and “with all faults” for your information and personal, non-commercial use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any purposes whatsoever without the express prior written consent of Hostgrid. No right or license under any copyright, trademark, patent, or other proprietary right or license is granted by this Agreement. Hostgrid reserves all rights not expressly granted in and to the Hostgrid Content, this Site and the Services, and this Agreement do not transfer ownership of any of these rights. However, Hostgrid hereby grants to the User a non-exclusive, non-transferable, non-sublicensable, fully revocable, limited license to use the Hostgrid Content, for the purpose of generating and displaying websites created through relevant Services provided by Hostgrid, solely as expressly permitted under this terms and conditions, and solely within the relevant Services. For the avoidance of doubt, if certain Hostgrid Content is provided (bundled) with certain Services’ plan, the User is allowed to use such Hostgrid Content solely within the relevant Services’ plan.
User Content. Some of the features of this Site or the Services may allow Users to view, post, publish, share, store, or manage (a) ideas, opinions, recommendations, or advice (“User Submissions”), or (b) literary, artistic, musical, or other content, including but not limited to photos and videos (together with User Submissions, “User Content”). User Content includes all content submitted through your Account.
User Intellectual Property. User shall own all intellectual property pertaining to User Content and to any other materials created, developed, or connected to Services by User, including any designs, images, animations, videos, audio files, fonts, logos, illustrations, compositions, artworks, code, algorithms, SPIs, APIs, databases, interfaces, text and literary works.
By posting or publishing User Content or User Intellectual Property to this Site or to the Services, you represent and warrant to Hostgrid that (i) you have all necessary rights to distribute User Content or User Intellectual Property via this Site or via the Services, either because you are the author of the User Content or User Intellectual Property and have the right to distribute the same, or because you have the appropriate distribution rights, licenses, consents, and/or permissions to use, in writing, from the copyright or other owner of the User Content or User Intellectual Property, and (ii) the User Content or User Intellectual Property does not violate the rights of any third party. User shall be solely responsible for any and all consequences (including any damages) and requirements for using User Content or User Intellectual Property.
Security. You agree not to circumvent, disable or otherwise interfere with the security-related features of this Site or the Services found at this Site (including without limitation those features that prevent or restrict use or copying of any Hostgrid Content or User Content) or enforce limitations on the use of this Site or the Services found at this Site, the Hostgrid Content or the User Content therein.
The provisions in this Section apply specifically to Hostgrid’s use of User Content posted to Hostgrid’s corporate websites (i.e., those sites which Hostgrid directly controls or maintains). The applicable provisions are not intended to and do not have the effect of transferring any ownership or licensed rights (including intellectual property rights) you may have in content posted to your hosted websites.
Generally. You shall be solely responsible for any and all of your User Content or User Content that is submitted through your Account, and the consequences of, and requirements for, distributing it.
With respect to User Submissions. You acknowledge and agree that:
1. Your User Submissions are entirely voluntary.
2. Your User Submissions do not establish a confidential relationship or obligate Hostgrid to treat your User Submissions as confidential or secret.
3. Hostgrid has no obligation, either express or implied, to develop or use your User Submissions, and no compensation is due to you or to anyone else for any intentional or unintentional use of your User Submissions.
4. Hostgrid may be working on the same or similar content, it may already know of such content from other sources, it may simply wish to develop this (or similar) content on its own, or it may have taken / will take some other action.
Hostgrid shall own exclusive rights (including all intellectual property and other proprietary rights) to any User Submissions posted to this Site, and shall be entitled to the unrestricted use and dissemination of any User Submissions posted to this Site for any purpose, commercial or otherwise, without acknowledgment or compensation to you or to anyone else.
With Respect to User Content (Other Than User Submissions).
If you have a website or other content hosted by Hostgrid, you shall retain all of your ownership or licensed rights in User Content.
By posting or publishing User Content to this Site or through the Services, you authorize Hostgrid to use the intellectual property and other proprietary rights in and to your User Content to enable inclusion and use of the User Content in the manner contemplated by this Site and this Agreement. You hereby grant Hostgrid a worldwide, non-exclusive, royalty-free, sublicensable (through multiple tiers), and transferable license to use, reproduce, distribute, prepare derivative works of, combine with other works, display, and perform your User Content in connection with this Site, the Services and Hostgrid’s (and Hostgrid’saffiliates’) business(es), including without limitation for promoting and redistributing all or part of this Site in any media formats and through any media channels without restrictions of any kind and without payment or other consideration of any kind, or permission or notification, to you or any third party. You also hereby grant each User of this Site a non-exclusive license to access your User Content (with the exception of User Content that you designate “private” or “password protected”) through this Site, and to use, reproduce, distribute, prepare derivative works of, combine with other works, display, and perform your User Content as permitted through the functionality of this Site and under this Agreement. The above licenses granted by you in your User Content terminate within a commercially reasonable time after you remove or delete your User Content from this Site. You understand and agree, however, that Hostgrid may retain (but not distribute, display, or perform) server copies of your User Content that have been removed or deleted. The above licenses granted by you in your User Content are perpetual and irrevocable. Notwithstanding anything to the contrary contained herein, Hostgrid shall not use any User Content that has been designated “private” or “password protected” by you for the purpose of promoting this Site or Hostgrid’s (or Hostgrid’s affiliates’) business(es).
Hostgrid generally does not pre-screen User Content (whether posted to a website hosted by Hostgrid or posted to this Site). However, Hostgrid reserves the right (but undertakes no duty) to do so and decide whether any item of User Content is appropriate and/or complies with this Agreement. Hostgrid may remove any item of User Content (whether posted to a website hosted by Hostgrid or posted to this Site) and/or terminate a User’s access to this Site or the Services found at this Site for posting or publishing any material in violation of this Agreement, or for otherwise violating this Agreement (as determined by Hostgrid in its sole and absolute discretion), at any time and without prior notice.
Hostgrid may also terminate a User’s access to this Site, the Services or the Account (at Hostgrid’s sole discretion) without notice if: (i) Hostgrid notices or is informed that Site or the Services are used in a manner that promotes, encourages or engages in child pornography, the exploitation of children or terrorism, or (ii) Hostgrid has reason to believe the User is a repeat offender. If Hostgrid terminates your access to this Site, Services or the Account, Hostgrid may, in its sole and absolute discretion, remove and destroy any data and files, including back-up copies, stored by you on its servers. Please note that using one Service for illegal activity mentioned herein does not limit Hostgrid’s right to terminate User’s Account.
Hostgrid expressly reserves the right to deny, cancel, terminate, suspend, lock, or modify (including access to or control of) any Account or Services (including the right to cancel or transfer any domain name registration) for any reason (as determined by Hostgrid in its sole and absolute discretion), including but not limited to the following: (i) to correct mistakes made by Hostgrid in offering or delivering any Services (including any domain name registration), (ii) to protect the integrity and stability of, and correct mistakes made by, any domain name registry, (iii) to assist with our fraud and abuse detection and prevention efforts, to prevent activities that threaten the stability of our network and/or servers, (iv) to comply with court orders against you and/or your domain name or website and applicable local, state, national and international laws, rules and regulations, (v) to comply with requests of law enforcement, including subpoena requests, (vi) to comply with any dispute resolution process, (vii) to defend any legal action or threatened legal action without consideration for whether such legal action or threatened legal action is eventually determined to be with or without merit, or (viii) to avoid any civil or criminal liability on the part of Hostgrid, its officers, directors, employees and agents, as well as Hostgrid ’s affiliates, including, but not limited to, instances where you have sued or threatened to sue Hostgrid.
Hostgrid expressly reserves the right to terminate, without notice to you, any and all Services where, in Hostgrid's sole discretion, you are harassing or threatening Hostgrid and/or any of Hostgrid's employees.
Hostgrid expressly reserves the right to access, edit, and (or) in any other way modify your Account and (or) Services, including but not limited to, User Submissions and User Content, in order to assist you when you reach out to the Customer Service via live chat, email or ticketing system or any other way described in Customer Service Policy. Hostgrid shall not be liable for any loss or damage resulting from such actions.
We prohibit the transmission of spam through our Services and monitor all traffic to and from our servers for signs of spamming. Spam includes unsolicited commercial or bulk messages sent via email, SMS, instant messaging or other channels without recipient’s prior consent to receive such communications (regardless of the personal identity and context of the recipient being relevant for the message or not). In order to use our Services, you must abide by all applicable laws and regulations, including the laws implementing ePrivacy Directive (Directive 2002/58/EC) or CAN-SPAM Act of 2003. This includes, as applicable, requirements that (i) commercial advertising and (or) bulk communication may only be sent to recipients who have “opted-in” to receive such messages; (ii) messages include a legitimate return address and reply-to address, the sender's physical address, and (iii) an opt-out method is provided in the message. Upon request by us, conclusive proof on compliance with applicable requirements may be required.
When evaluating your compliance with our no spam policy and the Agreement, we are entitled to examine various factors, including recipients' reactions to the messages received (e.g. number of messages marked as spam), sender profile verification and authentication, behavioral indicators and sending patterns, domain and IP reputation checks. Also, for this purpose, we reserve the right to view and otherwise use the content and metadata associated with the messages.
If we determine, in our sole and absolute discretion, that the Customer has violated no spam policy and (or) provisions of the Agreement, we have a right to suspend any related Services. In very limited cases, the Services may be restored subject to our decision (e.g. in cases where the violation was isolated) and the Customer shall be deemed to undertake to cease any spam activities.
In the event we determine, in our sole and absolute discretion, that the violation is manifestly abusive or has not stopped or repeated after Services have been restored the first time, we may, in our sole and absolute discretion, terminate the Services related to spam activities and (or) immediately terminate any Account, which is connected with any spam activities.
We encourage all recipients of messages generated from Services to report suspected spam. Suspected abuse can be reported by email abuse@Hostgrid.in.
Hostgrid supports the protection of intellectual property. If you would like to submit (i) a trademark claim for violation of a mark on which you hold a valid, registered trademark or service mark, or (ii) a copyright claim for material on which you hold a bona fide copyright, please refer to Hostgrid’s Trademark and/or Copyright Infringement Policy referenced above .
This Site and the Services found at this Site may contain links to third-party websites that are not owned or controlled by Hostgrid. Hostgrid assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites. In addition, Hostgrid does not censor or edit the content of any third-party websites. By using this Site or the Services found at this Site, you expressly release Hostgrid from any and all liability arising from your use of any third-party website. Accordingly, Hostgrid encourages you to be aware when you leave this Site or the Services found at this Site and to review the terms and conditions, privacy policies, and other governing documents of each other website that you may visit.
Hostgrid may utilize artificial intelligence tools (“AI Tools”) that process your Content (“Input”) to assist in creating text, logos, business names or other content (e.g. AI Writer). You are responsible for any generated output returned by these AI Tools based on your Input (“Output”) to create text, logos, or other content as part of the design process for use in your Services. Hostgrid reserves the right to cease offering or providing any of the Services at any time, for any or no reason, and without prior notice. Although Hostgrid makes great effort to maximize the lifespan of all its Services, there are times when a Service we offer will be discontinued or reach its End-of-Life ("EOL"). If that is the case, that product or service will no longer be supported by Hostgrid, in any way, effective on the EOL date.
Notice and migration. In the event that any Service we offer has reached or will reach EOL, we will attempt to notify you thirty or more days in advance of the EOL date. It is your responsibility to take all necessary steps to replace the Service by migrating to a new Service before the EOL date, or by entirely ceasing reliance on said Service before the EOL date. (A) GENERAL TERMS, INCLUDING AUTOMATIC RENEWAL TERMS
By purchasing our Services, you agree to provide correct and full payment related information (including information required for tax exemptions, such as VAT/GST number). Any claims or requests will be handled only if they are provided not later than within 30 days of the date of purchase, unless applicable laws provide otherwise.

The automatic renewal option automatically renews the applicable Service for a renewal period equal in time to the most recent service period, except for domain names which will renew for the original service period. For example, for products other than domains, if your last service period is for one year, your renewal period will be for one year. We have the right, but not an obligation, to inform you via email about the upcoming automatic renewal date (e.g. we will not send notifications for clients having 1 month plans). While the details of the automatic renewal option vary from Service to Service, the Services that offer an automatic renewal option treat it as the default setting. Therefore, unless you disable the automatic renewal option, Hostgrid will automatically renew the applicable Service when it comes up for renewal and will take payment from the Payment Method you have on file with Hostgrid at Hostgrid’s then current rates, which you acknowledge and agree may be higher or lower than the rates for the original service period. In order to see the renewal settings applicable to you and your Services, simply log into your members area and find the respective account. You may enable or disable the automatic renewal option at any time. However, should you elect to disable the automatic renewal option and fail to manually renew your Services before they expire, you may experience an interruption or loss of Services, and Hostgrid shall not be liable to you or any third party regarding the same. In addition, Hostgrid may participate in “recurring billing programs” or “account updater services” supported by your credit card provider (and ultimately dependent on your bank’s participation). If you are enrolled in an automatic renewal option and we are unable to successfully charge your existing Payment Method, your credit card provider (or your bank) may notify us of updates to your credit card number and/or expiration date, or they may automatically charge your new credit card on our behalf without notification to us. In accordance with recurring billing program requirements, in the event that we are notified of an update to your credit card number and/or expiration date, Hostgrid will automatically update your payment profile on your behalf. Hostgrid makes no guarantees that we will request or receive updated credit card information. You acknowledge and agree that it is your sole responsibility to modify and maintain your Account settings, including but not limited to (i) setting your renewal options and (ii) ensuring your associated Payment Method(s) are current and valid. Further, you acknowledge and agree that your failure to do so, may result in the interruption or loss of Services, and Hostgrid shall not be liable to you or any third party regarding the same. If for any reason Hostgrid is unable to charge your Payment Method for the full amount owed for the Services provided, or if Hostgrid receives notification of a chargeback, reversal, payment dispute, or is charged a penalty for any fee it previously charged to your Payment Method, you agree that Hostgrid may pursue all available lawful remedies in order to obtain payment, including but not limited to, immediate cancellation, without notice to you, of any domain names or Services registered or renewed on your behalf. Hostgrid also reserves the right to charge you reasonable “administrative fees” or “processing fees” for (i) tasks Hostgrid may perform outside the normal scope of its Services, (ii) additional time and/or costs Hostgrid may incur in providing its Services, and/or (iii) your noncompliance with this Agreement (as determined by Hostgrid in its sole and absolute discretion). Typical administrative or processing fee scenarios include, but are not limited to (i) customer service issues that require additional personal time or attention; (ii) UDRP actions(s) in connection with your domain name(s) and/or disputes that require accounting or legal services, whether performed by Hostgrid staff or by outside firms retained by Hostgrid; (iii) recouping any and all costs and fees, including the cost of Services, incurred by Hostgrid as the results of chargebacks or other payment disputes brought by you, your bank or Payment Method processor. These administrative fees or processing fees will be billed to the Payment Method you have on file with Hostgrid. Hostgrid may offer product-level pricing in various currencies; however, transaction processing is supported only in U.S. dollars and a select number of the currency options displayed on this Site ("Supported Currency" or “Supported Currencies”). If the currency selected is a Supported Currency, then the transaction will be processed in the Supported Currency and the pricing displayed during the checkout process will be the actual amount processed and submitted to your bank for payment. If the currency selected is not a Supported Currency, then the transaction will be processed in U.S. dollars and the pricing displayed during the checkout process will be an estimated conversion price at the time of purchase. By using Hostgrid’s pay by PayPal payment option (“PayPal”), you can purchase Services using PayPal. In connection therewith, you agree to allow PayPal to debit the full amount of your purchase from your PayPal account (“PayPal Account”) or from credit card(s), bank account(s), or other allowed payment method(s) linked to your PayPal Account (“PayPal Funding Source”).
It is your responsibility to keep your PayPal Account and PayPal Funding Source current and funded, and your PayPal Account backed by a valid credit card. You acknowledge and agree that (i) PayPal reserves the right to decline a transaction for any reason (including, but not limited to, payments that fail to go through as a result of your PayPal Account or PayPal Funding Source no longer existing or not holding available/sufficient funds) and (ii) in such event, neither PayPal nor Hostgrid shall be liable to you or any third party regarding the same. (C) INTERNATIONAL PAYMENT OPTIONS
Hostgrid offers a variety of alternative international payment options through a variety of International Payment Providers (“IPP”). In the event you select an IPP, you represent that you have already agreed to any and all of the IPP’s applicable customer service agreements in advance of completing your transaction at Hostgrid. You also agree to allow the IPP to debit the full amount of your purchase from the selected bank account, e-wallet account (including credit card(s), bank account(s), or other allowed payment method(s) linked to your e-wallet account) or any other type of account associated with the selected IPP (including but not limited to, prepaid cards and mobile payments), collectively “Funding Sources”. In addition, you agree to allow the selected IPP to debit, if applicable, an “Exchange Rate Conversion Fee”, as well as any other fees or charges applicable to your agreement with the IPP (collectively, the “IPP Fees”), from your Funding Sources. You understand and agree that IPP Fees are subject to change at any time by the IPP without notice to you by Hostgrid.
It is your responsibility to keep your Funding Sources current and funded. You acknowledge and agree that (i) the IPP reserves the right to decline a transaction for any reason (including, but not limited to, payments that fail to go through as a result of your Funding Sources no longer existing or not holding available/sufficient funds) and (ii) in such event, neither the IPP nor Hostgrid shall be liable to you or any third party regarding the same. You acknowledge that Hostgrid will not attempt to fulfill the Services purchased by you until Hostgrid receives confirmation of payment from the IPP through its associated payment processor. You acknowledge there may be a gap of several hours or days between the time you place an order and the time the IPP confirms payment through its associated payment processor. If Hostgrid does not receive confirmation of payment from the IPP through its associated payment processor within thirty (30) days from when the order is placed, your order may be cancelled, at which time you will need to commence the purchase process again. In the event that you would like to cancel payment for a pending transaction, you may cancel the order through your Hostgrid account. Payments received on previously cancelled orders will be automatically refunded to the original Payment Method when possible.
If, at the time Hostgrid receives confirmation of payment from the IPP (through its associated payment processor), either (i) the Services (including domain names) are no longer available for purchase; or (ii) a pending order has been cancelled in our systems; or (iii) the confirmation of payment does not match the dollar amount of the pending order, and as a result your purchase is either over-funded or under-funded, Hostgrid may automatically issue a partial refund (in the case of over-funding) or a full refund (in the case of under-funding) to your Funding Source. If the IPP (or its associated payment processor) imposes refund limitations of any kind, Hostgrid reserves the right to issue refunds to an in-store credit balance. If you receive a full refund, you will need to begin the purchase process again. You acknowledge and agree that the IPP reserves the right not to refund IPP Fees associated with a refunded transaction. Accordingly, any refunds issued by Hostgrid will be net of the IPP Fees unless otherwise specified.
(D) IN-STORE CREDIT BALANCES
In the event that your Account contains an in-store credit balance, you may apply any available credit balance to any future purchase in your Account. In the event that your Account contains an in-store credit balance, you hereby authorize Hostgrid to apply any available credit balance to any outstanding administrative fees, chargebacks or other fees related to your Account. In the event that your default Payment Method fails for an automated billing in connection with the processing of any Service renewals, Hostgrid may utilize any available in-store credit balance if there are enough funds to cover the entire transaction. Regardless of the amount of in-store credit available in your account, Hostgrid is not responsible for the loss of products resulting from an inability to collect funds from your default Payment Methods or the in-store credit. In-store credits will be applied based on the currency selected in the shopping cart at the time of purchase (or renewal). If you have more than one in-store credit, then the credits will be processed according to the age of the credit, with the oldest in-store credit being applied first. If additional funds are required to complete the purchase or renewal, credits held in a non-selected currency will be converted using Hostgrid’s daily exchange rate based on the age of the credit (oldest to newest) until (i) enough funds are allocated to complete the transaction, or (ii) there is no available balance left in your account. You understand and agree that at the time of conversion, Hostgrid may also impose an additional administrative fee to compensate for the risks and costs associated with providing currency conversion services.
You can verify your available in-store credit balance at any time by logging into “Manage Your Account” or through the shopping cart on the Hostgrid website. You acknowledge that in-store credit balances are non-transferrable, may only be used in the Account in which they were acquired and may expire. Complimentary in-store credits will expire two years after issuance. In the event that Hostgrid terminates your Account, you acknowledge and agree that any remaining available in-store credit balance will be forfeited.
You also acknowledge that funds available in your in-store credit balance will be held by Hostgrid and will not accrue or pay interest for your behalf. (E) Cryptocurrencies, tokens and digital assets
Unless stated otherwise, following words refer to blockchain-based software ledger data entries: "digital asset", "asset", "coin", "cryptocurrency", "ledger entry", "altcoin" and "token".
Hostgrid offers a variety of cryptocurrencies, tokens and digital assets payment options through a Cryptocurrency Payment Provider (“CPP”). In the event you select a CPP, you represent that you have already agreed to any and all of the CPP’s applicable customer service agreements in advance of completing your transaction at Hostgrid. If applicable, an “Exchange Rate Conversion Fee”, as well as "Transaction Fee" and any other fees or charges applicable to your agreement with the CPP (collectively, the “CPP Fees”), from your Funding Sources. You understand and agree that CPP Fees are subject to change at any time by the CPP without notice to you by Hostgrid.
You acknowledge and agree that (i) the CPP reserves the right to decline a transaction for any reason (including, but not limited to, payments that fail to go through. In such event, neither the CPP nor Hostgrid shall be liable to you or any third party regarding the same. You acknowledge that Hostgrid will not attempt to fulfill the Services purchased by you until Hostgrid receives confirmation of payment from the IPP through its associated payment processor. You acknowledge there may be a gap of several hours or days between the time you place an order and the time the CPP confirms payment through its associated payment processor. If Hostgrid does not receive confirmation of payment from the CPP through its associated payment processor within thirty (30) days from when the order is placed, your order may be cancelled, at which time you will need to commence the purchase process again.
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and assigns.
Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

Products purchased from Hostgrid may be refunded only if canceled within 30 days of the date of the transaction.
Note: Due to their nature, cryptocurrencies, tokens and digital assets are generally irreversible and their exchange rates are highly volatile and transitory. We can not be responsible for any risk including but not limited to exchange rate risk and market risk. Products purchased using cryptocurrencies, tokens or digital assets will not be refunded.
Note: If a client's actions are found to violate applicable laws or Hostgrid's Terms of Services, any payments made to Hostgrid will not be refunded.
“Date of the transaction,” for the purpose of this Refund Policy, means the date of purchase of any product or service, which includes the date any renewal is processed by Hostgrid in accordance with the terms and conditions of the applicable product or service agreement (Terms of Use). You may cancel a product at any time, but a refund will only be issued if cancellation is requested within the refund timeframe specified for the applicable product, if available at all. Note: Some products have different policies or requirements for a refund associated with them, including some products that are not eligible for a refund under any circumstance. Please see below for refund terms applicable to such products:
Any products or services that were suspended, canceled, or terminated due to the abusive usage of the products, services, or any other violation of the Terms and Conditions are not eligible for a refund.
The purpose of the refund is for customers to try and understand whether the services provided by Hostgrid suit their needs. In any way, Hostgrid will not tolerate abusive usage of refunds (i.e., refunding the same services multiple times and (or) repetitively purchasing and asking for a refund for services purchased in bulk, etc.). Hostgrid remains a right to unilaterally decline the request for a refund if any of the signs related to the abusage of the refunds occur.
New registration of domain name: Refundable only if at the moment of initiation of the refund both the following conditions are met: (i) domain name refund is initiated within 96 hours from such domain name registration and (ii) more than 24 hours have passed from the moment of initiation of last refund of any other domain name registration.
In case of .br (including .com.br and .net.br) domain name, its registration is refundable if the following condition is met: domain name refund is initiated within 168 hours from such domain name registration.
The following ccTLD registries DO NOT permit refunds upon cancellation:
Domain name transfers: Refundable only if both the following conditions are met: (i) the domain name transfer is unsuccessful and (ii) refund is initiated within 30 days from payment for such transfer.
VPS hosting plan: Refundable only if at the moment of initiation of the refund both the following conditions are met: (i) VPS hosting plan refund is initiated within 30 days from the date of the transaction of that specific VPS hosting plan and (ii) more than 180 days have passed from the moment of initiation of last refund for any other VPS hosting plan.
Hostgrid Horizons plan: Refundable only if the refund is initiated within 30 days from the date of the transaction of that specific Horizons plan. Hostgrid reserves the right to refuse a refund in cases of abuse or if the service was not used for its intended purpose.
REFUNDS FOR SPECIAL DEALS
From time to time, Hostgrid offers special deals such as a free domain when buying 12/24/48 months hosting plan.
Such free domains provided as part of special deals are non-refundable (except for .br, .com.br and .net.br domains) and cannot be exchanged to other (different) domains and (or) products.
Keeping in mind that there are different conditions for domain refunds (as described in this Refund Policy), Hostgrid remains the right to refund you a difference between your paid amount and the domain you received for free price. In such a case, you can keep using a domain name for the remaining billing period term.
PAYMENT METHODS WITH SPECIAL REFUND TERMS:
Please note that all payment processors have different policies and requirements for refunds and there are some payment methods that are not eligible for a refund under any circumstance.

We provide refunds to the original funding source. But if you would like to use funds to purchase another Hostgrid service instantly, you can select a refund to your Hostgrid Balance. Please note that once a refund to Hostgrid Balance is initiated for a selected invoice, it becomes irrevocable and cannot be refunded to a different source.
Over-funded balance can be refunded within 30 days of the payment that resulted in the over-funding. In special cases, other payments can be refunded instead of the original payment if the 30-day time-frame can be applied to those payments.
If at any time, we record a decline, chargeback, reversal, payment dispute, risk of payment fraud or other rejection of a charge of any payable fees on your Hostgrid account (“Chargeback”), this will be considered as a breach of your payment obligations hereunder, therefore you agree that Hostgrid may pursue all available lawful remedies in order to obtain payment, including but not limited to, immediate termination, without notice to you, of your Hostgrid account and any domain names or Hostgrid services registered or renewed on your behalf (“Services”). In addition, this will also result in disabling the option to checkout with a credit card for your Hostgrid account to limit the risk of payment fraud.
In the event a Chargeback is performed, your Hostgrid account may be blocked without the option to re-purchase or re-use it, and any data contained in such a Hostgrid account, including any certain content, features, or capacity of your Hostgrid account may be subject to cancellation and loss of data.
Your use of the Hostgrid Services and the ability to checkout using credit card will not resume until you:
verify the payment method used for the disputed transaction, either by providing:
proof of the payment; or
a simple censored photo of the credit card, with uncovered first 6 (six) and last 4 (four) digits.
pay any applicable fees in full, including any fees and expenses incurred by Hostgrid and/or any third party services for each Chargeback received (including fees for Hostgrid Services provided prior to the Chargeback, handling and processing charges and fees incurred by the payment processor).
Cases related to criminal fraud chargebacks or obvious payment fraud (i.e. cases where compromised credit card details were used to make purchases) will result in permanent service termination without any option to recover.
If you have any questions or concerns regarding a payment made to Hostgrid, we encourage you to first contact our Customer Support team before filing a Chargeback or reversal of payment, in order to prevent the Hostgrid Services from being canceled and your Hostgrid account being blocked, and to avoid the filing of an unwarranted or erroneous Chargeback, which may result in your being liable for its applicable fees, in addition to re-payment of all the fees applicable to the Hostgrid Services purchased (and charged-back) by you.
We reserve our right to dispute any Chargeback received, including by providing the relevant credit card company or financial institution with any information and documentation proving that the User responsible for such Chargeback did in fact authorize the transaction and make use of the Services rendered thereafter.
This Affiliate Program Agreement (also "Agreement", "Affiliate Agreement", "Terms and Conditions", "Affiliate Terms and Conditions", ) is entered into by and between Hostgrid private limited company (“Hostgrid”) and the Partner (also ”You”, “Affiliate Partner”, “Affiliate”), and is made effective as of the date of electronic acceptance. This Agreement sets forth the terms and conditions of your use of the Affiliate Program (the "Affiliate Program" or the "Services"). Your electronic acceptance of this Agreement signifies that you have read, understood, acknowledged and agreed to be bound by this Agreement, along with Hostgrid's which is incorporated herein by reference. The terms "we", "us" or "our" shall refer to Hostgrid. The terms "you", "your", "User", "customer" or "Affiliate" shall refer to any individual or entity who accepts this Agreement. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits. Hostgrid, in its sole and absolute discretion, may change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to the Hostgrid website (this "Site"). You acknowledge and agree that (i) Hostgrid may notify you of such changes or modifications by posting them to this Site and (ii) your use of this Site or the Services found at this Site after such changes or modifications have been made (as indicated by the "Last Revised" date at the top of this page) shall constitute your acceptance of this Agreement as last revised. If you do not agree to be bound by this Agreement as last revised, do not use (or continue to use) this Site or the Services found at this Site. In addition, Hostgrid may occasionally notify you of changes or modifications to this Agreement by email. It is therefore very important that you keep your account ("Account") information, including your email address, current. Hostgrid assumes no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate or out-of-date email address.
Sanctions. You represent and warrant that you are not ordinarily resident of, and will not use or distribute the Hostgrid Services in any country or region subject to US comprehensive country or other sanctioned country by US or EU / UN. You further confirm that you are not included on any sanctions list (including avoiding circumvention), including without limitation, the US Specially Designated Nationals and Blocked Persons List maintained by the US, Consolidated list of persons, groups and entities subject to EU financial sanctions maintained by EU or any other applicable sanctions list maintained by the United Kingdom or other country. You also confirm that you are not owned 50 percent or more, whether directly or indirectly in the aggregate, by any sanctioned individual or entity (“Sanctioned Party”), nor are you otherwise controlled by such a party. Additionally, you agree not to use or distribute the Services, either directly or indirectly, to or for the benefit of any Sanctioned Party.
If there is a change in your status that results in your inclusion on a sanctions list (maintained by the US, EU/UN or other country) or if you become owned or controlled by an entity on such a list, you are required to promptly notify Hostgrid. You agree to actively participate in sanctions screening processes, including providing all necessary information as requested by Hostgrid, also your full cooperation is mandatory in any competent authority investigation related to sanctions compliance.
In the event that Hostgrid becomes aware of your becoming subject to sanctions maintained by the US, EU/UN or other country, Hostgrid reserves the right to terminate your use of its Services immediately and without any notice.
Additionally, Hostgrid retains the discretion to terminate Services, if it reasonably suspects that you have links to a Sanctioned Party. Furthermore, you agree to indemnify and hold Hostgrid harmless against any losses, including but not limited to monetary penalties and legal fees, that may arise due to your non-compliance with the aforementioned sanctions-related confirmations.
In order to enroll in the Affiliate Program, you need to submit your application through the affiliate signup form on the Hostgrid website (the Website). All affiliate signups within 5 business days are reviewed by us before deciding if an application is accepted. If we determine that your application is not suitable for the Affiliate Program, it may be rejected for any reason.
As a Hostgrid Affiliate, you agree that:
It is your full responsibility to provide us with accurate account information and it is your responsibility to keep that information up to date. Such information includes, but is not limited to: contact details, payment details, tax information, all website URL(s) where Hostgrid is promoted, traffic sources, promotional means and practices, and any other details we may request. Hostgrid reserves the right to request any additional information about each website, where Hostgrid is promoted and any additional information about the practices used to promote Hostgrid on those websites. If by any means you fail to provide the requested data or the data is not accurate it may result in exclusion from the Affiliate Program, temporary suspension or termination of your Affiliate account and loss of any Commissions.
The Affiliate must act in good faith and refer clients in good standing. Clients in good standing are your referred web hosting account owners that have provided valid contact information, have active accounts that do not exceed any limitations as per the Hostgrid Terms of Service and are not flagged for high fraud risk. Active account refers to your referred new users who have created an account and have not canceled it in more than 45 (forty-five) days.
You should not make any recommendations or take any actions that would result in a potential revenue loss for Hostgrid.
You should not use any marketing practices that may attract clients that are not in good standing.
You should not act in your own will as per modifying, copying or altering any banners, icons, graphics or any other content that is contained in Hostgrid’s Links including but not limited to altering and modifying any copyright or trademark notices, without prior written approval from Hostgrid.
You shall not use self-referral methods, you can’t click on your affiliate links and/or banners and make orders via your unique affiliate link. Matching IP addresses that were used to log in to the Affiliate panel and to make the purchase, are going to be considered as self-referral and no exceptions will be made. Additionally, the use of VPN services to make a purchase via the affiliate link will also be considered a violation. Violations can result in the loss of all accrued Rewards and dismissal from the program.
You should not engage in any blackhat SEO/spam link building techniques, impersonating Hostgrid, cookie insertion, Pay per Click/Impression advertising or other similar techniques in order to generate more referrals for Hostgrid.
You should not use specific coupon codes issued to other Affiliates.
You agree not to violate any applicable law, including but not limited to laws on advertising.
You should be loyal to Hostgrid and should not misuse its confidence and shall not damage Hostgrid reputation.
Not to advocate, promote, or encourage violence or discrimination against any person, organization, or governmental entity.
You shall comply with Hostgrid’s If Hostgrid suspects or detects patterns of violations of the Affiliate Program Agreement, Hostgrid reserves the right, as a result of Program Agreement violation, to suspend and/or terminate your Affiliate account and cancel all Commission payments due.
In the event that, after the affiliate joins the affiliate program, circumstances become apparent, knowing which Hostgrid would not have entered into an affiliate agreement with the partner, Hostgrid reserves the right to immediately terminate the cooperation and/or withhold payment for the previous time as well.
Only promotional materials that are approved by Hostgrid may be used in the Affiliate’s Site in order to advertise Hostgrid. Approved promotional materials refer to the materials that are provided in your Affiliate Assets. Approved promotional materials may contain Hostgrid trademarks, service marks, logos and slogans for you to display on your Affiliate Website. By signing this agreement we grant you a non-exclusive, limited and non-transferable license to access, download and place the approved promotional material on your website with the sole purpose to promote websites operated, controlled and owned by Hostgrid.
If by the decision of any party the Affiliate Agreement is terminated, upon termination your non-exclusive, limited and non-transferable license to access, download and place the approved promotional materials of Hostgrid will be immediately and automatically withdrawn without any notification.
Inappropriate ways of advertising include, but are not limited to:
The Usage of any illegal and/or spam method of advertising, such as: unsolicited email, unauthorized placing of the link in forums, newsgroups, message boards, etc.;
Using Pay per Click or Pay per impression campaigns as advertising method and bidding on keywords and phrases containing the "Hostgrid" trademark, or variations or misspellings of the trademarked term on Pay per Click or Pay per Impression campaigns on the search engines (Google, Yahoo, MSN, Ask, Bing or others) without our prior approval. You are not allowed to use the Hostgrid Website(s) as display URL in Paid media ads and to direct-link or redirect to the Hostgrid Website(s);
Using non-unique copyright infringing content to promote Hostgrid;
Impersonating Hostgrid;
Using traffic generated by pay to read, pay to click, banner exchanges, click exchanges, PPV advertising, pop-up/under, or similar methods;
Providing cash backs, rewards or any other kind of incentives to obtain the sale without our prior approval;
Offering price savings methods, including coupon(s), voucher(s), discount codes, or added value offers without our prior approval;
Using our advertising and promotional materials, trademark or name in a way which negatively affects our image;
Using iframes or any other techniques or technology that places your affiliate tracking cookie in any means other than an actual click-through;
Using link cloaking or masking techniques or technology with the goal to promote Hostgrid on websites and/or networks not explicitly listed in your affiliate profile and hiding that traffic source;
Your website(s) must NOT contain lewd, obscene, illegal or pornographic material, or any other material that is deemed to be objectionable. This includes, but is not limited to, bigotry, hatred, pornography, satanic materials, trademark and copyright materials, all content of an adult nature, etc. The declaration of any materials as such is subject to our reasonable opinion;
Your domain name(s), company name, logo, trademark, product(s), project(s), service(s) must NOT contain keywords and phrases containing the "Hostgrid" trademark or any other variations or misspellings confusingly similar to Hostgrid trademark, name, logo or domain name, without our prior approval;
Your domain name(s), company name, logo, trademark, your product(s), project(s), service(s) must NOT contain keywords and phrases that contain or are confusingly similar to third-party trademarks, names, logos or domain names unless you have been duly authorized by the trademark owner.
Hostgrid shall have the sole right to decide if a promotional method you use is appropriate. The use of any advertising method that we consider inappropriate may result in a warning, suspension or termination of your affiliate account and cancellation of all outstanding Commission payments due. Additionally, any rude, aggressive or offensive in any means communication with the dedicated affiliate manager will result in a permanent ban from the Affiliate Program with no exceptions made.
We track affiliate sales automatically by using cookies. The cookies are automatically placed in the browser of the user who clicks on the affiliate link in order to reach our website. Every cookie is stored for up to 30 days. If a previous affiliate’s cookie is already placed in the same user’s browser it will be overwritten with the new cookie. If cookies are deleted intentionally by the user, Hostgrid does not hold responsibility for this action.
If the sale is for Hostgrid Shared hosting (Single/Premium/Business), Cloud hosting (Startup, Professional, Enterprise), VPS (KVM 1, KVM 2, KVM 4, KVM 8, Game Panel 1, Game Panel 2, Game Panel 4), Domains (yearly plans during special Affiliate Program offers only), Hostgrid Reach plans, you will receive up to 40% (forty percent) Commission. Commission is paid only for the initial purchase of our services for 12 months and longer periods.
If the sale is for Hostgrid Horizons (any paid plan), Commission up to 60% (sixty percent) is available though specific offers only (please contact your account manager for more information). Commission is paid only for the initial purchase of our Hostgrid Horizons services for any period (including 1 month).
No Commission will be granted for domains (except for yearly plans during special Affiliate program offers only), email or the one-month hosting plans or renewal of upgrade of services, bought by the clients. With Revenue Share offers the maximum Commission for one sale is $300. Any applicable taxes, fees, additional services (such as personal information protection) and domain prices are excluded. (Example: a client bought Hostgrid VPS 4 pack for a year and paid 521.99 USD (taxes included). Here's how your Commission will be counted: ($521.99 - $90.59 (VAT 21% (depends on the country)))*40% = $172.56). In total, you will receive 172.56 USD Commission.
We retain the right to change the Commission structure and the method of calculation of the Commission at any time. Other Commission plans are not offered as standard but could be discussed with your Account Manager after review of the Partnership.
If you disagree with the Commission due as reported or believe that commissions were not rightfully attributed to your account, you shall send an email to affiliates@hostgrid.in, if you are an affiliate, or partnerships@hostgrid.in, if you are an influencer, and indicate the reasons and/or observations in 30 (thirty) days since the balance due, the force majeure event’s or the respective's sale date. Failure to send an email within the prescribed time limit shall be deemed to be considered as an irrevocable acknowledgment.
If the purchase will be canceled or refunded by the request of the client during the 45 days period - the Commission for such purchase will not be credited. We retain the right to review all the transactions for the possible fraud, whether such fraud is on the part of the Customer, or on your part. During the time which We review Commissions for possible fraud or any other concerns due to illegal activity, we may withhold payment of any balance to you for up to 180 (one hundred eighty) days, while We investigate and verify that the relevant transactions comply with the provisions of the Agreement, laws and regulations.
If the commissions are older than 2 years and have not been withdrawn - they will be removed from your affiliate account's balance.
This Affiliate Agreement does not convey to You any rights of ownership in or related to Our product, technology or the intellectual property rights owned by Us. Our name, logo, and the Product names associated with Us are trademarks of Hostgrid or third parties, and no right or license is granted to use them in so far as it is expressly listed in this Agreement. We provide the brief and advertising materials (description, key talking points, links, logos and any other assets from the Product), which might be used only for the purpose of the Integration, as it is necessary to fulfill Your obligation of this Agreement.
You will send integration for approval at least two days before the publication date. We shall have up to two (2) rounds of revisions. You agree to remake the integration in the event that factual inaccuracy or direct contradiction to the brief is made within the integration. All other revisions may be made via editing, voiceover, or text overlay.
If for any reason the Integration does not include the link, discount code or key messages provided by Us (including, but not limited to, a link different from the one provided by Us or link is inoperable not due to fault of Us), You hereby agree at your own expense to prepare new Integration according to the new instructions to be provided by Us.
You ensure that the Integration will not breach any rights of any third parties and shall indemnify Us and will keep Us harmless for any claims We might receive in relation to Your breach of the aforementioned obligation.
The integration shall properly reveal the collaboration/paid promotion fact and ensures that the content/deliverables of the Services complies with relevant legal regulation.
This Paragraph is applicable for influencers (partners who we are actively in talks with) only.
We will provide you with the Commission statement due in your Affiliate Area at the start of a new month. Payout requests for the previous payable period should be submitted via specified email until the end of the previous month. For example: the request for July 2021 should be sent by the end of August 2021. Payouts will be released by the 20th of the running month. If the request will be submitted after the end of the previous month - the payout will be transferred to the next payments round. You must have at least 3 approved conversions to request a payment. The minimum payout amount for Paypal withdrawal is $100. The minimum payout for Wire Transfer is $500. Please keep in mind that Wire Transfer payments usually take 3-5 workdays to be completed. Due to this reason, the commission payouts can be released later than the 20th of each month.
Both the Affiliate and Hostgrid agree that they are entering into this Affiliate Agreement as independent contractors and this agreement creates no partnership, agency franchise, joint venture, sales representative or employment relationship between them. You have no authority to accept or make any representations or offers on the behalf of Hostgrid. You cannot make any statements on your website or otherwise that would contradict anything in this section.
At any time you can cancel and terminate your affiliate account by contacting us through the Affiliate Area. Hostgrid will send you a confirmation that your account has been terminated, as requested.
Hostgrid can terminate an affiliate account:
With a seven-day prior notice without providing any explanation.
Immediately without any prior notice, if your affiliate account or you violate the Affiliate Program Terms and Conditions, including, but not limited to: performing actions which pose a risk to damage the Our reputation, using advertising materials or/and intellectual property not according to this Affiliate Program Terms and Conditions, without legal basis disclosing confidential information, commiting any act which brings Us or our brand into public disrepute, contempt, scandal, or ridicule, or which insult or offend the general community to which the integrations are directed, or which might tend to injure the success of Us or Our brand, integrations are not compliant with terms of this Agreement, including the creators’ guide provided by Us.
After an affiliate account is terminated, the sales associated with the affiliate will no longer be tracked by us and you will no longer qualify for any future Commissions. Additionally Partner will be considered an inactive Affiliate if the account will not have any new Conversions for the last twelve months and such accounts will be parked as dormant (can be reactivated any time when contacted by a affiliate). If any Commissions are due at the time of termination, they will be paid to the Affiliate after any applicable holding period with the regular payout cycle. No outstanding Commission payments will be due if your account is terminated due to the violation of these Terms and Conditions and an administrative fee of 125 USD (or the equivalent in the currency that is listed in your Affiliate Area) will be due by the Affiliate.
Once the Affiliate account is terminated, the Affiliate is obliged to remove any and all promotional materials, links, logos, trademarks, and slogans of Hostgrid from his website within a period of 3 business days. This provision survives the termination of the Affiliate Agreement. Upon the termination of this Affiliate Agreement, the Affiliate no longer has the right to use any of Hostgrid trademark(s), logo(s), and slogan(s) and will refrain from any actions that may affect the reputation, the image and any business relations with current and potential clients of Hostgrid, directly or indirectly.
Once the Affiliate account is terminated, this Affiliate Agreement is terminated automatically.
Each party acknowledges that, as a result of this Affiliate Agreement, it may gain access to certain Confidential Information of the other party. “Confidential Information” means all documentation and information, including techniques, algorithms and processes and technical, business and marketing information, designated or marked by the party disclosing such documentation and information orally, visually or in writing (the “Disclosing Party”) as “proprietary” or “confidential” or the like, or that the other party (the “Receiving Party”) knows to be confidential, or should reasonably consider to be confidential under the circumstances of its disclosure, supplied by the Disclosing Party to the Receiving Party in connection with this Affiliate Agreement.
During the Term and for a period of five (5) years thereafter, each Receiving Party agrees (a) to hold the Disclosing Party’s Confidential Information in strict confidence, using the same degree of (but no less than reasonable) care and protection that it exercises with its own Confidential Information of a similar nature; (b) not to directly or indirectly disclose or otherwise make available any Confidential Information of the Disclosing Party to a third party; and (c) not to copy or use Disclosing Party’s Confidential Information for any purpose other than as necessary to fulfill Receiving Party’s obligations or exercise its rights under this Affiliate Agreement. Each party will disclose the other party’s Confidential Information only to its employees and affiliates with a need to know in order to fulfill such party’s obligations hereunder. In addition, the Receiving Party will be allowed to disclose Confidential Information of the Disclosing Party to the extent that such disclosure is approved in writing by the Disclosing Party or is required by law or by the order of a court or similar judicial or administrative body, provided that (to the extent permitted by law) the Receiving Party notifies the Disclosing Party of such required disclosure promptly and in writing and cooperates with the Disclosing Party, at the Disclosing Party’s reasonable request and expense, in any lawful action.
The obligations of this Section will not apply to Confidential Information if such information: (a) is publicly available prior to or at the time of disclosure, or later becomes publicly available through no act of the Receiving Party; or (b) was, prior to disclosure hereunder, rightfully known to the Receiving Party (other than in connection with this Affiliate Agreement) without confidentiality restriction.
Any controversy, claim or dispute arising under this Affiliate Agreement will be resolved according to the jurisdiction and legislation where the Hostgrid entity servicing your Affiliate account is located.
We remain the right to change any policies or terms of this Affiliate Agreement at any time. The amendments and/or supplements of the Agreement are effective immediately upon being posted to the Hostgrid website. The current Terms and Conditions of the Affiliate Agreement are always available publicly on Hostgrid’s website. If by any means you do not agree with the amendments and/or supplements of the Affiliate Agreement, you can cancel your account within 10 business days, counting from the date of the amendments and/or supplements. Only an official Hostgrid officer has the right to make any amendments and/or supplements to this Affiliate Agreement. No agent of, or person employed by or under contract with, Hostgrid has any authority to alter or vary this Affiliate Terms and Conditions Agreement in any way. No oral explanation or oral information given by any party shall alter the interpretation of this Affiliate Agreement.
Referral Program of Hostgrid Private Limited is offering you the opportunity to refer friends and network via a referral program and earn up to 20% of each successful referee's first purchase. The referee will get up to 20% discount at the checkout! By participating in the Referral Program, you agree to be bound by these Terms of Services. All of Hostgrid's decisions are final and binding.
Referral Program can not be combined with other Hostgrid referral programs or incentives in respect of the same purchase. These Terms of Services outline the Referral Program that started in 2025. Any referrals made before 2025 will not be applied.

Note: Rewards for Hostgrid Balance are being paid out immediately when you reach the required threshold. The payout will be done in your local currency. Once paid, these rewards are final and cannot be reverted back toward the referral threshold or cashed out.
Note: Rewards for PayPal are being paid out daily with automation which starts from GMT+5:30. While the automation is running, it triggers payment for all eligible rewards. If you become eligible for a reward after the automation is done running for that day, your reward will be processed and issued with the following day’s automation. So please allow for some delay due to such automation and the time that PayPal may take to process the transaction. Please note that your payment may be declined by PayPal for several reasons, including regulatory compliance issues, risk concerns, or because the recipient's email address in a specific country is unable to accept transactions. If you have not received an eligible commission, please contact PayPal support or update your payment details. Following these updates, the commission will be reissued automatically the next day.
Note: Rewards for Wire transfers are being paid out weekly on Thursday. If you become eligible for a reward after that day or technical issues prevent your payout from being sent on the scheduled date, your reward will be processed and issued next Thursday. Please note that international wire transfer takes up to seven business days on average, depending on differences in time zones, foreign currencies, and banking systems. For certain countries (e.g., India, Pakistan), it can take even longer. To check if you received the payment, please contact your bank regarding payments from Hostgrid Private limited. Please note that your payment may be disabled by the bank for various reasons. If you have not received an eligible commission, please update your payment details, and our team will reissue the commission the following month. Alternatively, you might want to consider using PayPal to receive your commission more quickly.
Warning: Depending on your bank’s policies, the wire transfer may charge extra fees and exchange rate differences. You may receive less reward amount because of this. To avoid these charges, consider using PayPal or Hostgrid Balance.
Warning: If you have any issues with the commission attribution or the referral payout, you shall send an email to referrals@hostgrid.in.
Referrals should only be used for personal and non-commercial purposes. The Referral Program is meant only for referring people that are already in your network: your friends, family, colleagues, clients, and their networks. Therefore, referral links should not be published or distributed on commercial websites, any blogs or YouTube channels/videos, but only on your personal social media where your network can see the referral links. You are prohibited from “spamming” anyone with referral invitations. This includes mass texting, emailing, or messaging people you do not know or using automated systems/bots through any channel to distribute, post, or otherwise share your referral link.
You are prohibited from using any type of Pay per Click or any other paid advertising methods (including bidding on keywords and phrases containing the "Hostgrid" trademark, or variations or misspellings of the trademarked term on Pay per Click or Pay per Impression campaigns on the search engines (Google, Yahoo, MSN, Ask, Bing or others)).
You are also not allowed to use the Hostgrid Website(s) as display URL in Paid media ads and to direct-link or redirect to the Hostgrid Website(s).
Hostgrid reserves the right to change, end, or pause, in whole or in part, any referral program, as well as any referrer/inviter's or referee/invitee's ability to participate in any referral program or receive rewards at any time for any reason, including suspected fraud (including by either the referrer and/or referee/invitee), abuse, or any violation of these Referral program Terms and Conditions.
Hostgrid's sole discretion, it reserves the right to cancel rewards in the event of any of the following reasons:
- Hostgrid is unable to collect funds from the referred customer.
- The order is fraudulent.
- The reward was earned improperly for any other reason.
Any controversy, claim or dispute arising under this Referral Agreement will be resolved according to the jurisdiction and legislation where the Hostgrid entity servicing your Referral account is located.
This Hosting Agreement (this “Agreement”) is entered into by and between Hostgrid group entity, the details of which are indicated in the Hostgrid’s Terms of Service, ("Hostgrid") and you, and is made effective as of the date of electronic acceptance. This Agreement sets forth the terms and conditions of your use of Hostgrid’s Hosting services (the “Services”), and represents the entire agreement between you and Hostgrid concerning the subject matter hereof.
Your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement, which is incorporated herein by this reference, and any other agreements or policies that are expressly incorporated herein.
The terms “we”, “us” or “our” shall refer to Hostgrid. The terms “you”, “your”, “User” or “customer” shall refer to any individual or entity who accepts this Agreement. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
We may, in our sole and absolute discretion, change or modify this Agreement, any policies or agreements which are incorporated herein, and any limits or restrictions on the Services, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of the Services after such changes or modifications shall constitute your acceptance of this Agreement and any limitations to the Services as last revised. If you do not agree to be bound by this Agreement and any Service limitations as last revised, do not continue to use the Services. We may occasionally notify you of changes or modifications to this Agreement by email. It is therefore very important that you keep your shopper account information current. We assume no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address.
We offer varying plans of Hosting Services:
Web Hosting. If you purchase Web Hosting, your site is placed within one or more servers and resources are shared between many customers on the same servers; however, your site is given a unique address (DNS).
Virtual Private Server (“VPS”). If you purchase VPS, you will share a server with other customers, but you will have full control over your server space and the complete configuration of your virtual instance on the server. You will have administrator (root) access and a dedicated IP address.
Migration of servers. You acknowledge and agree that as a normal course of business, it may be necessary for us to migrate our servers. As a result, even if you have a dedicated IP, you may be assigned a different IP number. We do not warrant that you will be able to consistently maintain your given IP numbers.
Termination of Services. You acknowledge and agree that upon expiration or termination of your Services, you must discontinue use of the Services and relinquish use of the IP addresses and server names assigned to you in connection with Services, including pointing the domain name system (“DNS”) for your domain name(s) away from our servers. Prior to termination of the Services, you are responsible for moving your website or server content off our servers. We will not transfer or FTP your website or server content to another provider. If you fail to move your website or server content off our servers prior to cancellation, then all such content will be deleted and we will not be able to provide a copy of such content.
Free products credits. Upon termination of the Services, all free products provided as part of the Services will be cancelled or revoked.
Abusive activities. You acknowledge and agree that you may not use our servers and your website as a source, intermediary, reply to address, or destination address for mail bombs, Internet packet flooding, packet corruption, denial of service, or other abusive activities. Server hacking or other perpetration of security breaches is prohibited and we reserve the right to remove sites containing information about hacking or links to such information. Use of your website as an anonymous gateway is prohibited. We prohibit the use of software or scripts run on our servers that cause the server to load beyond a reasonable level, as determined by us. You agree that we reserve the right to remove your website temporarily or permanently from our servers if you are in violation of this Agreement and/or there are activities that threaten the stability of our network. You acknowledge and agree that all websites associated with your hosting account may be removed if one website is in violation of this Agreement. In addition to the General Rules of Conduct listed in our Universal Terms of Service, you agree not to engage in unacceptable use of the Services, which includes, without limitation, use of the Services to: (1) disseminate or transmit any material that, to a reasonable person may be grossly offensive, vulgar or malicious; (2) attempt to mislead any person as to the identity, source or origin of any communication; (3) interfere, disrupt or attempt to gain unauthorized access to any computer system, server, network or account for which you do not have authorization to access or at a level exceeding your authorization; (4) engage in any other activity deemed by us to be in conflict with the spirit or intent of this Agreement or any of our policies; or (5) use your server as an “open relay” or for similar purposes.
We prohibit the running of a public recursive DNS service on any of our servers. All recursive DNS servers must be secured to allow only internal network access or a limited set of IP addresses. We actively scan for the presence of public DNS services and reserve the right to remove any servers from the network that violate this restriction.
Storage and security. You shall be solely responsible for undertaking measures to: (1) prevent any loss or damage to your website or server content; (2) maintain independent archival and backup copies of your website or server content; and (3) ensure the security, confidentiality and integrity of all your website or server content transmitted through or stored on our servers.
Hostgrid's backup service runs once a week and overwrites any of our previous backups. Only two weeks of backups are stored in the remote server. If daily backups are provided in User’s hosting plan, last week’s daily backups will be additionally stored. This service is provided to shared, VPS and reseller accounts as a courtesy and may be modified at any time at Hostgrid's sole discretion. Hostgrid is not responsible for files and/or data residing on your account. You agree to take full responsibility for all files and data transferred and to maintain all appropriate backup of files and data stored on Hostgrid's servers. Any cPanel shared hosting account using more than 30 gigs of disk space will be removed from our off site weekly backup. To ensure continuous backup generation, User must ensure that his disk space consumption does not exceed 30 gigs.
Our servers are not an archive and we shall have no liability to you or any other person for loss, damage or destruction of any of your content. The Services are not intended to provide a PCI (Payment Card Industry) or HIPAA (Health Insurance Portability and Accountability Act) compliant environment and therefore should not be used or considered as one. You shall not use Hostgrid Services in any way that shall impair the functioning or operation of it or any equipment used to operate it. Included, but not limited to, you shall not use the Services as: (1) a repository or storage for files; and/or (2) a place to store material that can be downloaded through other websites. If we detect an infringement of aforementioned restrictions, you may be issued a email storage violation warning at 10GB, and will be required to reduce the number of used gigabytes in your email. We reserve the right to temporarily suspend disk write functionality, in our sole discretion, when email storage size reaches 10GB. You acknowledge and agree that we have the right to carry out a forensic examination in the event of a compromise to your server or account.
Data protection and security. You shall be solely responsible and liable for compliance with applicable privacy and personal data protection requirements (including, but not limited to requirements laid down by General Data Protection Regulation (EU) 2016/679) (GDPR), which may be applicable to any personal information, data or content collect through, stored or otherwise processed in relation to Hosting Services on your website or server content.
You shall at all times remain data controller of any such personal data without any liability of whatsoever nature to Hostgrid.
You acknowledge that Hostgrid may in certain limited cases have access to information and communications systems for the purposes set forth in this Agreement or our Terms of Service.
Without limitations to the generality of the foregoing, you shall be solely responsible for installation of organizational and technical security measures sufficiently protecting personal data stored or processed on your website or server. Consequently, you will be solely responsible for all and any data breaches, incidents and similar violations pertaining to such data, unless such data breach has occurred solely due to technical failures, malfunction or errors of the servers and resources, which Hostgrid has expressly warranted to secure to You and assume liability for such failures, malfunction or errors.
In case certain limited personal data processing activities are found to be carried out by Hostgrid, the following data processing clauses shall apply: (1) Hostgrid shall process personal data only according to your documented written instructions or only as mandatorily required by law; (2) make best efforts to implement reasonably available technical and organisational measures in order to ensure that personal data processing carried out complies with the requirements of GDPR and personal data protection legislation as regards security of processed personal data; you understand that the fact that available technical and organisational measures will be implemented in itself does not guarantee full and complete security, safety and integrity of personal data; (3) upon your request, Hostgrid will take reasonable measures to discontinue data processing after expiry of the Agreement and, if required by you and unless otherwise provided in applicable legislation, take reasonable measures to erase or in any other way make inaccessible and unusable or return to you all available personal data; (4) you shall undertake to ensure that personal data are collected and processed lawfully, are accurate, relevant and adequate, and that your instructions to Hostgrid are lawful, accurate, relevant, comply with the GDPR and personal data protection legislation; you shall notify data subjects of their data processing and transfer to Hostgrid in accordance with the requirements of GDPR and personal data protection legislation; (5) you grant Hostgrid with a general authorisation to engage sub-processors and service providers in the processing of personal data controlled by the you; (6) overall responsibility of Hostgrid hereunder shall be limited to the amount of remuneration for the last 6 (six) months paid to Hostgrid for the services under the Agreement.
Website/server content. You shall be solely responsible for providing, updating, uploading and maintaining your website or server and any and all files, pages, data, works, information and/or materials on, within, displayed, linked or transmitted to, from or through your website or server including, but not limited to, trade or service marks, images, photographs, illustrations, graphics, audio clips, video clips, email or other messages, meta tags, domain names, software and text. You acknowledge and agree that in the course of providing you with technical assistance, it may be necessary for our support staff to modify, alter or remove the content of your hosted product. Your website or server content shall also include any registered domain names provided by you or registered on behalf of you in connection with the Services.
Applicable laws. You are responsible for ensuring your website (including created using our services, such as Website Builder) conforms to all applicable local, state, federal, and international laws. In cases where certain functionalities are required by laws of specific countries, You are solely responsible for implementing such functionalities (including by using third parties services, if required).
Taxes. You are responsible for collecting, and managing all end customer payments. Similarly, you are responsible for the payment of all applicable state, federal or international taxes on products you sell using the Services. It is your responsibility to read, enter into, and agree to all and any agreements required for use of your selected Payment Methods and Tax options. Hostgrid is not responsible for the accuracy of information obtained through the Payment Method and Tax options. You are responsible for any additional taxes and duties imposed on the transaction. You may be subject to foreign tax obligations by selling to buyers. You are solely responsible for complying with all domestic and foreign tax, shipping, and export laws with respect to the sale of your items to buyers internationally.
Templates. Templates (e.g. Privacy Policy, Terms and Conditions, Refund Policy) provided by Hostgrid are intended for illustrative purposes only and are not to be construed as legal, financial, or professional advice. It is your responsibility to review, adapt or supplement these documents to ensure it complies with the actual activities occurring on your website. We make no representations or warranties, express or implied, regarding the accuracy, completeness, or suitability of the templates for any particular purpose. You acknowledge that the use of templates is at your own risk.
Third party services. In case you are using third party services, which are integrated into Website Builder, you are responsible for managing and maintaining in good standing any paid subscription and/or account required with a third-party provider.
Storage and plan limits. All Hosting plans, including the ones that contain unlimited services, are subject to the following (but not limited) limitations: Inode count, Database size, CPU power, amount of RAM, Entry Processes, Active Processes. In the event plan limitations are exceeded, you may need to reduce the number of files or database size, your site may slow down or not be served until resources are released or more resources are added, and your site may be temporarily or permanently suspended, in our sole discretion. More resources may be added at any time by upgrading the plan. Hostgrid reserves the right to change the plan limits at any time and such changes shall be posted online at Hostgrid web sites.
You acknowledge and agree that inbound UDP is not supported in shared hosting environments.
Website/server content. Your website may not include any of the following content: (1) image hosting scripts that allow an anonymous user to upload an image for display on another website (similar to Photobucket or Tinypic); (2) banner ad services for display on other websites or devices (commercial banner ad rotation); (3) file dump/mirror scripts that allow an anonymous user to upload a file for other to download (similar to rapidshare); (4) commercial audio streaming (more than one or two streams); (5) push button mail scripts that allow the user to specify recipient email addresses; (6) anonymous or bulk SMS gateways; (7) backups of content from another computer or website; (8) Bittorrent trackers; or (9) any script that causes a degradation in the performance of our server or network environment.
Unlimited services. We offer certain services that contain unlimited features, meaning there are no predefined caps on the resources of that particular feature you can utilize. However, we maintain a fair usage policy across all accounts to prevent violations and uphold service stability. In practical terms, this entails that our unlimited services are intended for the typical operation of a small business website. For example, shared hosting accounts are allotted up to 3GB for database usage and 300 databases (excluding Single Plan which has 2 databases), while cloud hosting accounts have a limited of 6GB for database usage and 800 databases. Additionally, FTP accounts have a cap of 300, and Cronjobs are limited to 400. In cases where your usage or content surpasses these limits, potentially posing a risk to the stability, performance, or uptime of our servers, data storage, networking, or other infrastructure, we may request a reduction in usage, recommend upgrading your current plan, or take necessary measures to restrict the resources your website is utilizing.
Free domains. Some hosting plans may include a free domain registration as part of a promotional offer. The list of eligible domain extensions and detailed conditions are available in our free domain sub-page, including, but not limited to the frequently-asked-questions section, which is considered an integral part of this Agreement.
cPanel. In the event you add cPanel to your server, you agree to be bound by the cPanel EULA, which is hereby incorporated by reference
We offer a Service uptime guarantee of 99.9% (“Service Uptime Guarantee”) of available time per month. If we fail to maintain this Service Uptime Guarantee in a particular month (as solely determined by us), you may contact us and request a credit of 5% of your monthly hosting fee for that month. The credit may be used only for the purchase of further products and services from us, and is exclusive of any applicable taxes. The Service Uptime Guarantee does not apply to service interruptions caused by: (1) periodic scheduled maintenance or repairs we may undertake from time to time; (2) interruptions caused by you from custom scripting, coding or the installation of third-party applications; (3) outages that do not affect the appearance of your website but merely affect access to your website such as FTP and email; (4) causes beyond our control or that are not reasonably foreseeable, including, but not limited to, DDOS attacks and IP blacklists; and (5) outages related to the reliability of certain programming environments; (6) interference with internet connectivity at the customer's ISP; (7) interference with internet connectivity that occurs on one of the routes which is the connectivity path from the customer to our server; (8) browser caching or DNS issues; (9) your fault or negligence; (10) interference caused by other parties; (11) violation of our Terms and Conditions.
Claims for the failure of the guarantee above can be claimed within a maximum of 30 days after the interruption occurred.
Products and Services available for refunds are described refund policy. (“Refund Policy”).
Definition. “Third Party Software” means any software or application developed and owned by a third party provider that we may contract with from time to time.
Operating Software.
We reserve the right to modify, change, or discontinue any Third-Party Software at any time, and you agree to cooperate in performing such steps as may be necessary to install any updates to the Third-Party Software. The Third-Party Software is neither sold nor distributed to you, and you may use the Third-Party Software solely as part of the Services. You may not use the Third-Party Software outside of the Services. We may provide your personal information to third-party providers as required to provide the Third-Party Software. You acknowledge and agree that your use of the Third-Party Software is subject to our agreement(s) with the third-party providers. In addition, if the Third-Party Software is accompanied by or requires consent to a service or license agreement from the third-party provider, your use of the Third-Party Software is subject to such service or license agreement. You may not download, install, or use any Third-Party Software that is accompanied by or requires consent to a service or license agreement from a third-party provider unless you first agree to the terms and conditions of such service or license agreement. You may not remove, modify, or obscure any copyright, trademark, or other proprietary rights notices that are contained in or on the Third-Party Software. You may not reverse engineer, decompile, or disassemble the Third-Party Software, except and only to the extent that such activity is expressly permitted by applicable law. You acknowledge and agree that the third-party providers (and their affiliates and suppliers) make no representations or warranties about any Third-Party Software offered in connection with the Services, and expressly disclaim any liability or damages (whether direct, indirect, or consequential) arising from the use of the Third-Party Software. You acknowledge and agree that any Third-Party Software will be supported by us and not by the third-party providers (or their affiliates or suppliers).
Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Universal Terms of Service Agreement. In the event there is a conflict between the provisions of this Agreement and the provisions of the Universal Terms of Service Agreement, the provisions of this Agreement shall control.
This Reseller Agreement (this “Agreement”) is entered into by and between Hostgrid Private Limitad, a Indian private limited company ("Hostgrid") (“Reseller”) and you, and is made effective as of the date of electronic acceptance. This Agreement sets forth the terms and conditions of your use of Hostgrid’s Reseller program(s) (“Reseller Program(s)”) for the purpose of selling some of Hostgrid’s products and services (the “Services”) to your own customers, and represents the entire agreement between you and Hostgrid concerning the subject matter hereof.
The terms “we”, “us” or “our” shall refer to Hostgrid. The terms “you”, “your”, or “Reseller” shall refer to any individual or entity who accepts this Agreement. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
We may, in our sole and absolute discretion, change or modify this Agreement, any policies or agreements which are incorporated herein, and any limits or restrictions on the Reseller Programs or Services, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of the Reseller Programs after such changes or modifications shall constitute your acceptance of this Agreement and Reseller Program limitations as last revised. If you do not agree to be bound by this Agreement and the Reseller Program limitations as last revised, do not continue to use the Reseller Program(s). We may occasionally notify you of changes or modifications to this Agreement by email. It is therefore very important that you keep your shopper account information current. We assume no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address.
Starter, Business and Business Reseller Packages. The Services available for resale may not include all of the Services that we offer for sale. The Starter Reseller Program allows you to resell cPanel Shared Hosting accounts to your own customers with following limitations: total 50 GB disk space and 500,000 inodes per reseller. The Business and Business Reseller Programs allow you to resell cPanel Shared Hosting accounts with following limitations: total 300 GB disk space and 3.2 M inodes per reseller.
Subject to the terms and conditions of this Agreement, we grant you a non-exclusive, non-transferable license to resell the Services. The Services that you choose to resell are subject to the corresponding Service agreements and the policies located on the Legal page of this Site.
Prices and fees. Subject to the terms and conditions of this Agreement, you acknowledge that all prices and fees are subject to change from time to time, and at our sole discretion.
Money back guarantee. If within thirty (30) days of the date you purchase a Reseller Package, you want to cancel your Reseller account for any reason, you are entitled to a full refund.
Customer notices. If there are any revisions, modifications, discontinuances or other material changes to the Services that require customer notification, you will assist us in notifying your customers.
Confidentiality. You agree that you will exercise a reasonable level of care and discretion to prevent and restrain the use, disclosure, or reproduction of our Confidential Information. “Confidential Information” includes, but is not limited to, any customer, order, domain name, Services-specific, or marketing information, or any other non-public information discovered within your Reseller Control Panel. Confidential Information does not include any information, however designated, that is or subsequently becomes publicly available without your breach of any obligation under this Agreement, became known to you prior to disclosure under this Agreement, became known to you from a source other than us and other than by the breach of another obligation of confidentiality, or is independently developed by you. This obligation shall last three (3) years after the termination of your Reseller Package.
No transfers. Your Reseller account is non-transferable and cannot be sold separately or in conjunction with the sale of an existing site or business.
Termination. If we determine that You have breached any term of this Agreement, we may terminate this Agreement. If you open further reseller accounts with us, they will be cancelled.
Audit rights. You acknowledge and agree that we may audit your website and request records and documentation to demonstrate your compliance with the terms and conditions of this Agreement. We reserve the right to suspend or cancel your account for non-compliance with the terms of this Agreement.
You will use all computer programs, documentation and information consisting of or containing proprietary information related to the API solely for the purpose of performing under this Agreement. You will not decompile, disassemble or otherwise reverse engineer the API or cause others to do so.
You will not use any copyrights, trademarks, service marks, or other intellectual property owned by Hostgrid or its parent or affiliate entities unless specifically authorized by us, will not register any trademark that is substantially or confusingly similar to one owned by Hostgrid or its parent or affiliate entities, and will not register or maintain any internet domain names containing trademarked terms owned by Hostgrid or its parent or affiliate companies (or domain names confusingly similar thereto). You shall not use any of Hostgrid’s or its parent’s or affiliates’ intellectual property in your advertising except as specifically authorized by us. You further agree not to use Hostgrid’s or its parent’s or affiliates’ trademarks, including our website URLs, as keyword terms in any online advertising campaigns.
No license or right under any copyright, patent, trademark, service mark or other proprietary right or license, except the limited trademark license provided below to Starter and Business Resellers, is granted to you or conferred upon you by this Agreement.
Definitions:
Hosting. Your Starter or Business Reseller site and your clients’ sites will be hosted by us and will be subject to the terms and conditions.
Customer support. By default, we will provide 24/7 ticketing and email customer support services to you directly. Your customers will have to contact you for support.
Social media. You may be given the ability to link to your social media pages from your Reseller site. You acknowledge and agree that you own, or have the right to link to, the social media pages you link to from your Reseller Site. If you use a Google button, you further acknowledge and agree to be bound by the Google Buttons Policy.
Custom domains. Your Reseller Package includes a custom domain name feature, allowing you to link your Reseller site to a domain name registered by you.
Legal agreements, Policies. Your Reseller site will display a Uniform Term of Service Agreement, Service-level customer agreements, Privacy Policy, and other legal agreements and policies, some of which your customer will be required to agree to before completing a purchase transaction. You agree that you will not modify or remove, or attempt to modify or remove, any of the legal agreements and policies included in your Reseller site.
Term and termination. In the absence of notification from you, we will automatically continue providing access to the Reseller Package indefinitely and will charge the Payment Method you have on file at our then current rates. You agree that you will be responsible for notifying us should you desire to terminate your use of the Reseller Package. Notification of your intent to terminate must be provided to us no later than three days prior to your billing date. We reserve the right, in our sole discretion and without notice, at any time and for any reason, to suspend your access to or use of the Reseller Package. Upon termination, your customers’ Services will default to us or a related entity. No refunds will be issued to you or your customers for Services purchased.
Representations and warranties. You represent and warrant that all information provided by you to setup your reseller site is true, accurate and complete. You also represent and warrant that the name of your site, URL or other branding is being used in good faith and that you have no knowledge of it infringing upon or conflicting with the legal rights of a third party or a third party’s registration, trademark or trade name.
Security Policy (“IS Policy”) is dedicated to the information managed by Hostgrid Private Limited operations, (“Hostgrid”).
Focus of the IS Policy:
The IS Policy is focused on the insurance of accessibility, authenticity, integrity and confidentiality of information according to the requirements of the applicable legislation and standard ISO/IEC 27001:2017 “Information technology – Security techniques – Information security management systems – Requirements” in the context of the Hostgrid activities.
Implementation of the IS Policy:
The implementation of the IS Policy is based on the risk assessment in terms of threats and vulnerabilities that could impact the security of information managed by Hostgrid and the improvement of the information security management system for the reduction of the identified risks to the acceptable level.
Goals of the IS Policy:
The IS Policy is implemented simultaneously with the cyber security and the business continuity policies according to the principles of complexity, procedural approach, separation of functions, informal enforcement, resistance to social engineering methods, avoidance of security fatigue, need-to-know, proportionality, balance and efficiency.
Hostgrid supports the protection of intellectual property. Whether you are the holder of a trademark, service mark, or copyright, Hostgrid is committed to helping you protect your legal rights. Therefore, we have established the following policies for considering trademark and/or copyright infringement claims.
Please refer to the Uniform Domain Name Dispute Resolution Policy (the "UDRP") if you have a concern or dispute about a registered domain name. Any dispute regarding the registration of domain names will need to be sent either to the registrant or to an ICANN-approved arbitration provider.
This Trademark/Copyright Infringement policy specifically excludes domain name disputes and has been established to allow reporting of possible violations involving other Hostgrid products and services.
A. Trademark claims
1. If you (the "Complaining Party") would like to submit a trademark claim for violation of a mark on which you hold a valid, registered trademark or service mark (registered with the appropriate intellectual property organization of your country; state registrations and registrations on the Supplemental Register are not considered valid for these purposes), Hostgrid requests that the Complaining Party substantiate such claim by providing the following information via email to abuse@hostgrid.in. The words "Trademark Claim" should appear in the subject line of the email.
To be considered effective, a notification of a claimed trademark violation must include the following information:

Upon receipt of the appropriate information identified in Section 1 above, for trademark claims, Hostgrid will initiate an investigation and forward the Complaining Party’s written notification to the alleged infringer. While Hostgrid is investigating the claim, Hostgrid, at its sole discretion and without any legal obligation to do so, may temporarily remove the allegedly infringing material, notify the alleged infringer it will lock down the domain name(s), redirect the DNS,and/or if it is solely stored on a Hostgrid server, temporarily remove or deny access to the allegedly infringing material.
3. If Hostgrid concludes that the Complaining Party has raised a legitimate trademark claim, it may, at its sole discretion and without any legal obligation to do so, continue to suspend the alleged infringer's Hostgrid account and/or if it is solely stored on a Hostgrid server, deny access to the allegedly infringing material. If Hostgrid concludes that the Complaining Party has not raised a legitimate claim, Hostgrid will restore access to the allegedly infringing material.
4. The Complaining Party should understand that Hostgrid, an affiliate of ICANN accredited registrar, and its customers are bound by the UDRP. Nothing in this Policy should be construed to supersede the UDRP, nor the obligation of Hostgrid and its customers to abide by it in the context of domain name disputes.
B. Copyright claims
1. If the Complaining Party would like to submit a copyright claim for material on which you hold a bona fide copyright, Hostgrid requests that the Complaining Party substantiate such claim by providing the following information via email to abuse@hostgrid.in. The words "Copyright Claim" should appear in the subject line of the email.
To be considered effective, a notification of a claimed copyright infringement must be provided to Hostgrid and must include the following information:

It is Hostgrid's policy to provide for the termination, in appropriate circumstances, of Hostgrid customers and account holders who repeatedly violate this policy or are repeat infringers of copyrighted works, trademarks or any other intellectual property.
Hostgrid Private Limited, legal entity code 123, registered address Loni, Ghaziabad, India 201102, (hereinafter referred to as the “Company,” or “we”), shall undertake to ensure the security of personal information and the protection of rights of the visitors of the website (hereinafter referred to as the “Visitors”) while you use Hostgrid group websites including but not limited to www.hostgrid.in (hereinafter referred to as the “Website”) and the content of it.
First and foremost, we DO NOT sell your personal information. However, when you visit or interact with our sites, services, applications, tools or messaging, we or our authorized service providers may use cookies, web beacons, and other similar technologies to make your experience better, faster and safer, for advertising purposes and to allow us to continuously improve our sites, services, applications and tools.
